Terms of Service
For users outside Japan, this English version is the governing text. Other language versions are translations, and if a translation differs from the English version, the English version prevails (Article 25).
- Scope: These Terms apply to your use of "SayonaraType" (the "Service") provided by CACTUS TOKYO Inc. ("we", "us"). You create an account after agreeing to these Terms and to our Privacy Policy. If you use the Service on behalf of a company or other organization, you confirm that you have the authority to agree on its behalf. The Service's features and supported environments may change; the latest information is on our website. If we set separate conditions for a specific plan or contract, those conditions take priority over these Terms.
- What the Service is: The Service is an app that turns what you say on your Mac into text, cleans it up, and pastes it where you are typing, together with the server functions that do this processing. For speech recognition and text clean-up, we use AI provided by outside service providers (speech recognition models and large language models). Your audio and text pass through our servers and are processed by those providers (Privacy Policy, Section 3). We do not store your audio or text on our servers, and we do not use them to train AI. (How the providers handle them is described in Privacy Policy, Section 3.) 2-2. Use outside Japan, and languages other than Japanese: Outside Japan, the Service is currently offered as a free trial version. This means only the free plan (Starter) is available; the paid plan (Pro) is not yet available in your region (Article 5). For languages other than Japanese, we are still researching and improving the quality of the clean-up. We do not guarantee the accuracy of the results or that the Service will work well enough for your purposes in that language. The free trial version is provided as is.
- Accounts: You register an account and sign in using the method we provide. An account is for one person only — the person who registered it. You can use it on up to 2 Macs at the same time. If you switch Macs many times in a short period, we may limit sign-ins while we check. You may not transfer, lend, or share your account. If you are under 18, please get permission from a parent or guardian before registering. If an account has not been used for 2 years or more, we may delete it after notifying you by email in advance.
- Free plan (Starter): How much you can use for free, and how it is counted, is shown on our pricing page. We may change this amount following the procedure in Article 21.
- Paid plan (Pro) and automatic renewal: For now, the paid plan is available only to customers in Japan. Its price and details are set out on the pricing page and in our Notice under the Act on Specified Commercial Transactions (currently ¥3,300 per month (tax included) for monthly billing and ¥23,100 per year (tax included) for yearly billing). We charge the first period when you sign up, and then charge automatically on the same day each contract period (1 month for monthly, 1 year for yearly). There is no usage limit (except as described in Article 11). Price changes follow the procedure in Article 21 and apply from your next renewal. We may add other plans, such as a plan for businesses (Enterprise). For plans longer than 1 month, such as yearly billing, we will email you about the renewal at least 30 days before the renewal date. You can pay by credit card or by another method we accept.
- Failed payments: If a payment for the paid plan fails, we will try again and keep your paid plan active for a period we set. If we still cannot confirm payment within that period, we will end the paid plan and move you back to the free plan (your account stays).
- Offers and referrals: We may offer discounts, coupons, referral programs, and other benefits under separate conditions we set. We may change or end these conditions, and we may cancel any benefit obtained by improper means. 7-2. Memory (paid plan): This feature summarizes what it learns about you from what you say, and saves the summary on your Mac. It turns on automatically with the paid plan, and we let you know in the app. You can turn it off and delete it at any time. The summaries are created using an outside provider's AI, and we do not guarantee that they are accurate. We may use the summaries when cleaning up your text in the future (Privacy Policy, Section 8).
- Cancellation: You can cancel at any time using the method we provide (for example, the billing management page). After you cancel, you can keep using the paid plan until the end of the period you have paid for, and then you move back to the free plan.
- Refunds: Unless these Terms say otherwise, we do not give refunds after payment, and we do not give partial (pro-rated) refunds if you cancel in the middle of a period. This does not apply if we could not provide the Service for reasons we are responsible for, or if we end the Service under Article 19. We may choose to give a refund based on individual circumstances, but this does not create a right to a refund.
- Prohibited actions: You must not: share or resell your account; modify, analyze, or decompile the app; use our servers for anything other than their intended purpose (for example, calling the clean-up function for anything other than voice input, or automated use by a program); put excessive load on the Service; use the Service for purposes that break the law or public order and morals, or that infringe the rights of others; process another person's voice without their consent; or use the Service to develop another voice input service.
- Temporary suspension: If we detect use that could not happen when a person speaks in a normal way (for example, many requests at the same time, or extremely long continuous use), or if Article 10 applies, we may temporarily suspend your account to check. Based on what we find, we may lift the suspension or stop your use. To keep the whole Service stable, we may also pause processing temporarily without notice.
- Intellectual property: Rights in the app and server programs, designs, and trademarks belong to us or to their rightful owners. We do not acquire any rights in what you say, the cleaned-up text, your dictionary, or your memory. We process them only as needed to provide the Service.
- Dependence on outside providers: The Service depends on outside providers' APIs. Outages or changes on their side may make the Service temporarily unavailable, or change how it processes your input (accuracy or speed). We are not responsible for how the apps or services you type into work, or for their terms.
- What we guarantee: Speech recognition and text clean-up are done by AI, and we do not guarantee that the results are accurate. The text may differ from what you said, or may be entered into a field you did not intend. Please check the text yourself before you send or save it. This applies especially to languages other than Japanese, where the quality is still being researched (Article 2-2).
- Limits on our liability: (1) Except where the damage is caused by our intent or gross negligence, our liability to you in connection with the Service is limited to direct damage that would normally occur. The amount is capped at the total fees you paid us in the 12 months before the damage occurred (or, if you have paid us nothing, an amount equal to 1 month of the paid plan). (2) If you use the Service for business purposes (that is, you are not a "consumer" under Japan's Consumer Contract Act), then in addition to (1), we are not liable for lost profits, indirect damage, or loss of data. (3) If you use only the free plan (including the free trial version outside Japan), the Service is provided free of charge and as is, and, except where the damage is caused by our intent or gross negligence, we are not liable for any damage arising from your use of the Service.
- Closing your account: To delete your account, please contact info@sayonaratype.com or use the contact form on our website. When your account is deleted, any paid plan ends at that time, and we delete your account information that we hold as described in Privacy Policy, Section 11. Please delete the data on your Mac yourself.
- Changes to the Service: We may change the Service's features or the AI models used for processing. We will announce changes that significantly affect you following the procedure in Article 21.
- Experimental features and integrations: Experimental (beta) features may change or end without notice. Integrations you turn on (for example, exporting to other apps or folders, or connecting to outside services) work based on your instructions, and how the other side handles your data is your responsibility.
- Ending the Service: We may end the Service by announcing it on our website and by email at least 30 days in advance. If we do, we will refund the unused part of any period you have already paid for.
- Transfer of our position: If we transfer the Service's business to a third party (including by business transfer, company split, or merger), we may transfer our position under these Terms, our rights and obligations, and your information to that third party, and you agree to this in advance. The same applies if that third party transfers the business again. We will announce the transfer on our website before it happens.
- Changes to these Terms: We may change these Terms in line with the rules of Japan's Civil Code on changing standard terms. Changes that are in users' general interest (such as new features, relaxed limits, or wording fixes) take effect when we post the new content and its effective date on our website. For changes that are unfavorable to you, we will, as a rule, email your registered address at least 30 days before the effective date, and also post them on our website. If you do not agree, you can cancel before the effective date, and we will refund the unused part of any period you have already paid for.
- Notices: We send notices to you by email to your registered address, by posting on our website, or by showing them in the app. We answer inquiries by email, in order, on business days. We do not guarantee response times or service uptime.
- Severability: If any part of these Terms is found invalid under law, the rest remains in effect.
- No antisocial forces: You confirm that you are not, and are not involved with, organized crime groups or other antisocial forces. If we find that you are, we may stop your use of the Service.
- Governing law, courts, and language: These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance. This applies even if you use the Service from outside Japan. For users in Japan, the Japanese version of these Terms is the governing text; for users outside Japan, this English version is the governing text. Other language versions are translations of the English version, and if a translation differs from the English version, the English version prevails.
